These Terms & Conditions govern the relationship between Private Entrepreneur Rossi Svitlana
incorporated under the laws of Ukraine (“Conversion Club”, “we”, “our”, “us”) and you (“You” or “User”), including but not limited, your interaction with Conversion Club Services and the website available at https://www.conversion-club.com/ and its subdomains (“Site”).

1. ACCEPTANCE OF TERMS & CONDITIONS

By creating an account, as described in this Terms & Conditions, or by using, visiting, or browsing the Conversion Club Services (defined hereinafter), you are accepting these Terms & Conditions (including our Privacy Policy found at https://www.conversion-club.com/privacy) and acknowledge and agree that they will govern your use of the Conversion Club Service. If you do not agree to these Terms & Conditions, you may not access and/or use the Conversion Club Service.

2. SCOPE OF SERVICES

We provide online services that enable you to apply for the invitation to the events available on the Conversion Club Site (the “Events”) organized by Conversion Club and sponsored by third parties (hereinafter “Conversion Club Services”). We also provide the opportunity to purchase a ticket to the event, if necessary, according to the rules of a particular event.

Also, references to the Conversion Club Service include all the features and functionalities on the Site, user interfaces, as well as all content on the Conversion Club Site, including reviews of the activities, opinions about third parties, the upcoming Events, etc.

3. APPLICATION PROCESS

The User that is going to send an application for the Event shall submit an application form available through the Conversion Club Site. After submitting the application form an account will be automatically created. Please note that submitting the application for the Event does not give you the right to access the Event, nor guarantee that you will receive an invitation for a particular Event. You will receive confirmation if your application has been accepted by Conversion Club. Conversion Club reserves the right to decline any application to the Event and/or withdraw any invitation at any time for any reason or no reason at all without notice to the User. Please kindly consider that the information provided by You shall be accurate and complete.

The User is solely responsible for the accuracy of the information provided to Conversion Club and/or any and all information relating to the User's application form. By submitting the application form to Conversion Club, User acknowledges and agrees that has read, understood and agrees to be bound by these Terms & Conditions and Privacy Policy (incorporated herein by reference) as may be amended from time to time.

4. INTERNET BOOKING TERMS AND CONDITIONS

Scope These online booking terms of Conversion Club Event are valid for the online sale of tickets. They complete the terms and conditions of the Conversion Club Event.

4.1. The order of tickets is provided by UApay. UApay is our authorized sales agent.

4.2 The order of tickets is completed with termination of the order dialogue on the website https://en.conversion-club.com/. The order dialogue will be terminated by clicking the button "complete your order".

4.3 If we don't receive sufficient approval, authorization or verification of a credit card, you can't order with a credit card.

4.4 Conversion Club Event confirms immediately the receipt of the order.

Conclusion of contract The contract is concluded within the acceptance of the order by Conversion Club Event. The acceptance takes place within the transmission of the entrance ticket confirmation as a document via Mail to the given E-mails address.

Payment procedures

4.5 You can pay by credit card. UApay accepts the following credit cards: Master Card, VISA, UnionPay, JCB, Maestro.

4.6 To pay by credit card you have to enter the credit card number, CVV, and the expiration date in the booking engine.

Prices, discounts

4.7 The prices of online tickets are final prices incl. VAT

4.8 There are no costs for booking and shipping.

4.9 Special activities (for example online discounts) are already included in the given price.

5. REFUND POLICY

5.1 Each of the Conversion Club Event (hereinafter referred to as the – “Event”) will take place in accordance with the schedule . Event registration deadline is 24 hours before the event. If you are not able to attend the Event, you can transfer your ticket to another attendee . You need to provide your real name and surname for the ticket - in another case the Conversion Club Event team have rights to refuse your entry to the conference hall.

5.2 Requests to refund the payment amount, ticket transfer or deposit payment shall be made via email contact@conversion-club.com of the Event Organizers.

5.3 Refund of payment amount will: - not be processed if the ticket was purchased less than 30 calendar days before the Event

- be processed in amount of 30% of the paid amount if the ticket was purchased less than 30 calendar days before the Event - be processed in amount of 50% of the paid amount if the ticket was purchased less than 60 calendar days before the Event - be processed in amount of 100% of the paid amount if the ticket was purchased more than 30 calendar days before the Event

5.4 The request for a deposit shall be sent in the order, set in the paragraph 2 of this Refund Policy, no later than 30 calendar days before the Event will take place.

5.5 The Organizer is not responsible for the proper fulfillment of this Refund Policy in case of the force majeure circumstances.

5.6. In the event of war or martial law, tickets become non-refundable. However, you can use the ticket to attend any of the upcoming Conversion Club events within the next 12 months. For more information, please contact us at contact@conversion-club.com.

6. CHANGES TO THE TERMS & CONDITIONS

Conversion Club may, from time to time, change these Terms & Conditions, including the Privacy Policy. Such changes will be effective immediately after posting, unless otherwise stated in the amended version of the Terms & Conditions or the Privacy Policy. In the event you do not agree to the modified Terms & Conditions and/or Privacy Policy, please cease the use of Conversion Club Service.

7. LICENSE TO USE CONVERSION CLUB SERVICE

Conversion Club grants User a limited, non-exclusive, non-transferable right to access and view the Conversion Club Service. Except for the foregoing, no right, title or interest shall be transferred to the User.

User may post or otherwise make available a link to this site in a way that is fair and legal and does not damage CC's reputation, misrepresent information available via this link or may be deemed inappropriate in any other way, as determined by CC. We reserve the right to request immediate removal of any link to this Site at any time and we may withdraw any linking permission at any time.

You are not permitted to use this Site in any fraudulent or unlawful manner. Following actions (without limitations) are strictly prohibited:

To publishing material that disparages, harm, threaten, abuse, embarrass, defame, libel, intimidate or harass another person, or in a way that invades another person's privacy or is obscene, offensive, hateful, indecent, inappropriate, objectionable, unacceptable, discriminatory or damaging as determined by us.
To tamper with, modify, reverse engineer or amend any part of this Site.
To decompile, reverse engineer, or disassemble any software or other products or processes accessible through the Conversion Club Service;
To interrupt, destroy or limit the functionality of any computer software or hardware associated with the Conversion Club Service, including any software viruses or any other computer code, files or programs.

Conversion Club alone (and its licensors, where applicable) owns all right, title, and interest, including all related Intellectual Property Rights, in and to the Conversion Club Services, and any suggestions, ideas, feedback, recommendations, or other information provided by User or any other party relating to the Conversion Club Service. This Terms & Conditions is not a sale and does not convey to User any rights of ownership in or related to the Conversion Club Service, the Site, or any Intellectual Property Rights owned by Conversion Club. The name, the logo, and the product names associated with the Conversion Club Services are trademarks of Conversion Club or third parties (where applicable) and no right or license is granted to use them (except as provided herein).

For the purposes of this Agreement, “Intellectual Property Rights” means copyright, trademarks, patents, service marks, trade names, rights in know-how, database rights, design rights and other intellectual property rights or equivalent forms of protection, of whatever nature arising anywhere in the world, whether registered or unregistered and including applications for the grant of such rights.

8. THIRD PARTIES CONTENT

The Site may contain recommendations, opinions, advice, reviews, ratings or comments on this site or any third party sites. We reserve the right to add, amend, delete, edit, remove or modify any information, content, material or data displayed on this Site and without notice from time to time. The information is provided for general purposes only. The information should not be relied upon, you should always check the suitability, adequacy and appropriateness of the product or service that you are interested in.

You may access and use third party sites at your sole risk and discretion. Any links to third party sites are provided for your interest and convenience only. Conversion Club has no liability for any errors or omissions in the Third party Content.

Your use of any third party site will be governed by the terms and conditions of use and privacy policy applicable to that site. Such terms and conditions of use and privacy policy will be different from these Terms & Conditions and our Privacy Policy. It is your responsibility to ensure that you understand and agree with the terms and conditions of use and privacy policy of any third party Site before using that Site. We are not responsible or liable for any loss or damage you may suffer or incur in connection with the terms and conditions of use or the privacy policy applying to any third party site or for any acts, omissions, errors or defaults of any third party in connection with those terms and conditions of use and/or privacy policy.

9. WARRANTIES AND LIMITATIONS ON LIABILITY

TO THE EXTENT PERMITTED BY LAW CONVERSION CLUB MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED.

CONVERSION CLUB DOES NOT GUARANTEE THAT YOU WILL BE ABLE TO ACCESS THE CONVERSION CLUB SERVICE AT ANY PARTICULAR TIME. THE CONVERSION CLUB SERVICES ARE PROVIDED ON AN "AS IS” AND “AS AVAILABLE" BASIS. EXTERNAL FACTORS AND/OR FACTORS BEYOND CONVERSION CLUB ’S CONTROL MIGHT CAUSE SERVICE DISRUPTIONS AT TIMES FOR WHICH CONVERSION CLUB MIGHT NOT HAVE ANY POWER OVER.

CONVERSION CLUB SHALL NOT BE LIABLE TO A USER (WHETHER FOR BREACH OF CONTRACT, NEGLIGENCE, OR OTHERWISE) FOR ANY LOSS OF OR CORRUPTION TO DATA OR COMPUTER FILES, LOSS OF USE, LOST BUSINESS, LOSS OF ANTICIPATED SAVINGS OR REVENUES, LOSS OF PROFITS, LOSS OF CONTRACTS OR BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR DAMAGE TO REPUTATION, ARISING OUT OF OR IN CONNECTION WITH SERVICES PROVIDED. IN NO EVENT CONVERSION CLUB, ITS LICENSORS OR SERVICE PROVIDERS, OR CONVERSION CLUB ’S RESPECTIVE EMPLOYEES, CONTRACTORS, OFFICERS, DIRECTORS, AND AGENTS BE LIABLE TO A USER IN THE AGGREGATE (FOR ALL POTENTIAL CLAIMS BY THE USER) FOR ANY DAMAGES INCURRED IN EXCESS OF TWO HUNDRED DOLLARS (200 USD) OR CONVERSION CLUB ’S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW, WHERE THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED.

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS & CONDITIONS OR THE CONVERSION CLUB SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES.

10. INDEMNIFICATION

User hereby agrees to indemnify, defend and hold Conversion Club, its officers, directors, employees, and agents, (collectively called the "Indemnitees"), harmless from and against any and all liabilities, obligations, losses, damages, penalties, actions, judgments, suits, claims, costs, expenses and disbursements of any kind or nature whatsoever (including, without limitation, the fees and disbursements of counsel for such Indemnitees in connection with any investigative, administrative or judicial proceeding commenced or threatened), which may be suffered by imposed on, incurred by, or asserted against that Indemnitee, in any manner resulting from, connected with, in respect of, relating to or arising out of services provided and/or this Terms & Conditions (the "indemnified liabilities") arising out of: (a) breach of any respective obligations, covenants, representations, or warranties under the terms hereof; (b) violation of this Terms & Conditions or Privacy Policy; (c) violation of the Applicable Laws; (d) the gross negligence or willful misconduct of User;

For the purposes of this Terms & Conditions, the “Applicable Laws” means any applicable statute, law, regulation, ordinance, rule, determination, judgment, rule of law, order, decree, permit, approval, concession, grant, franchise, license, requirement, or any similar form of decision, or any provision or condition of any permit, license or other operating authorization issued by any governmental authority having or asserting jurisdiction over the matter or matters in question, whether now or hereafter in effect.

11. MISCELLANEOUS

Jurisdiction. These Terms & Conditions shall be governed by, construed, and enforced in accordance with the laws of Ukraine; all matters concerning the performance thereof shall be construed, interpreted, applied, and governed in all respects in accordance with the laws of Ukraine. The parties hereto shall use their best efforts to settle any dispute arising out of or in connection with this Terms & Conditions, including any question regarding its existence, validity, or termination, through negotiation before resorting to any other means of resolution. If within a period of ninety (90) days after written notice of the dispute has been served by either party to the other, the parties have not reached a negotiated solution, then the dispute shall be referred to and resolved by competent courts of Ukraine. Courts of Ukraine shall have non-exclusive jurisdiction over disputes arising under these Terms & Conditions.

Waiver of Class Action. User, to the extent permitted by law, knowingly, voluntarily, and intentionally waives any right to pursue any claim or action arising out of or relating to this Terms & Conditions on a class or consolidated basis or in a representative capacity.

Severability. If any term, provision, covenant, or restriction of this Terms & Conditions is held by a court of competent jurisdiction to be invalid, illegal, void, or unenforceable, the remainder of the terms, provisions, covenants, and restrictions set forth herein shall remain in full force and effect and shall in no way be affected by such provision, covenant, or restriction. The parties hereto shall use their commercially reasonable efforts to find and employ an alternative means to achieve the same or substantially the same result as that contemplated by such term, provision, covenant or restriction. It is hereby stipulated and declared to be the intention of the parties that they would have executed the remaining terms, provisions, covenants, and restrictions without including any of such that may be hereafter declared invalid, illegal, void, or unenforceable.

Waiver of Terms. Conversion Club’s failure to exercise or enforce any right or provision of the Terms & Conditions shall not constitute a waiver of such right or provision.

Entire Agreement. You agree that these Terms & Conditions represent the entire understanding between you and Conversion Club in respect of your interaction with the Conversion Club Services and relationship with Conversion Club. These Terms & Conditions supersede any previous agreements between User and Conversion Club including any previous version of these Terms & Conditions.

Interpretation. In this Terms & Conditions: the headings are given for ease of reference only and shall not affect interpretation; references to any person shall include individuals and also bodies corporate, unincorporated associations and partnerships; any reference to a Clause shall be to a Clause of this Terms and Conditions; all words used will be construed to be of such gender and number as circumstances require; the word “including” does not limit the preceding words or terms.
